These terms and conditions (“Agreement”) govern the relationship between the members (“Members”) of the Animal Health Angel network (“Network”) and the operation of the network itself. By participating as a member, individuals agree to comply with the following terms and conditions:

1. Animal Health Angels Ltd operate as an introduction agents for applicants seeking to raise capital. In particular Animal Health Angels is an Investment Network for Angels who seek opportunities to purchase shares in unlisted companies. 
2. Eligibility:
3. • Members must be legally capable individuals, aged 18 or above.
   • Members must comply with all applicable laws, regulations and FCA requirements.
   • To qualify as a high net worth individuals under the FCA guidelines members must meet the criteria outlined by the FCA, including the financial threshold for income or assets.
3. Network purpose:
4. • The network serves as a platform for connecting angel investors and entrepreneurs seeking investment opportunities.
   • The network does not provide financial advice or make investment recommendations.
   • Members are solely responsible for their investment decisions and should undertake thorough due diligence before making any investments.
4. Compliance with FCA laws:
5. • Members must comply with all relevant FCA laws, regulations and guidelines regarding angel investment and financial promotions.
   • Members will not engage in any activities that are against FCA regulations or any applicable securities laws.
   • HNWI members acknowledged their obligation to adhere to additional regulation requirements as defined by the FCA for HNWIs.
   • Animal Health Angels does not advise on the merits of risks of investments and are not authorised to carry on investment business under the FCA act 2000.
5. Confidentiality and nondisclosure:
6. • Members agreed to keep all confidential information shared within the network strictly confidential.
   • Confidential information includes, but is not limited to investment, opportunities, business, plans, financials, and personal information of entrepreneurs and other members.
6. No liability is or will be accepted by Animal Health Angels for any loss or damage arising from acceptance of the applicant of an investment referred by Animal Health Angels.
7. Code of conduct:
8. • Member shall conduct themselves professionally and ethically, respecting the rights and interests of other members and entrepreneurs.
   • Members will not engage in any discriminatory abuse of defamatory, or harmful behaviours towards other members or entrepreneurs.
   • Members agree to adhere to the principles of fairness, honesty, and transparency in the interactions within the network.
8. Investment risks:
9. • Members acknowledge that money invested in early-stage companies carries inherent risks, including the potential loss of all invested capital.
   • Members are solely responsible for assessing and managing the risks associated with investment opportunities independently.
9. No guarantees or endorsements:
10. • The network does not guarantee the success profitability of viability of any investment opportunity.
    • The network does not endorse a warrant for accuracy, completeness of reliability of information provided by entrepreneurs or other members.
10. Dispute resolution in the event of a dispute between members of within the network.
11. • The parties agree to tempt resolve the matter through negotiation and good-faith discussions.
    • If a resolution cannot be reached to parties may seek alternative dispute, resolution methods or pursue legal remedies in accordance with applicable laws.
11. Amendments of termination:
12. • The network reserves, the right to amend the terms and conditions at any time, providing reasonable notice to members.
    • Members may terminate the membership of the member network at any time by providing written notice to the network. If over 6 months of the yearly subscription fee is unused at 50% refund will be provided.
12. Limitation of liability:
13. • The networks will not be liable for any direct indirect incidental, consequential, or exemplary damages arising from members participation in the network or their investment activities.
13. Governing law and jurisdiction:
14. • Members agreement that Animal Health Angels should be governed in accordance with the laws of the United Kingdom.
    • Any disputes arising from or relating to this agreements will be subject to the exclusive jurisdiction of English Courts.
14. Angels agree to notify Animal Health Angels of the following events within three business days of them occurring:
15. • Any completed investments of capital to applicants through the scheme together with any local investments.
    • Any discussions held pursuant to the introductions made through the scheme or the likely investments resulting from the introductions made through the scheme
    • Any appointments made in any paid position or board position through introductions by the network
15. Angels agree to pay the annual subscription fee within five working days of the invoice date.
16. Term and termination.
17. • The member will remain part of the network, commencing from the date of signature, and remain in force until either the angel notifies Animal Health Angels that they know longer want to be part of the Animal Health Angels network.
    • Animal Health Angels may notify the member in writing that it is terminating the membership as a result of a breach of their obligations as set out in this agreement.
